Terms of Service

These Terms of Service (“Terms”) govern your use of manicsoup.com (the “Site”) and the software products, subscriptions, and services offered by ManicSoup Labs (“we,” “us,” “our”). By creating an account, making a purchase, or using our software, you agree to these Terms.

1. Our products

We sell WordPress plugins offered in free and paid tiers. Paid tiers are sold as subscriptions billed monthly or annually. Our WordPress plugins are distributed under the GNU General Public License (GPL). Your license key does not restrict the GPL rights in the code itself; it controls access to paid features, automatic updates, downloads, and support for the duration of an active subscription.

2. Accounts

You are responsible for the accuracy of your account information and for keeping your login credentials secure. You must provide a valid email address — it is how we deliver license keys, receipts, renewal reminders, and support replies.

3. Subscriptions and automatic renewal

Paid plans renew automatically at the end of each billing period (monthly or annually, as selected at purchase) at the then-current price for your plan, until you cancel. The renewal amount and interval are disclosed at checkout before you pay. We send a reminder email before renewal — approximately 30 days before an annual renewal and 7 days before a monthly renewal.

You can cancel at any time from your account page on the Site, with no phone call and no fee. Cancellation stops future billing; your plan remains active through the end of the period you have already paid for.

4. License keys and activations

Each plan includes a stated number of site activations. You may move activations between sites from your account. Sharing, reselling, or publishing license keys is not permitted and may result in key deactivation. When a subscription ends, the plugin keeps working, but access to paid features, updates, downloads, and support ends with it.

5. Plan changes

You may upgrade or downgrade between plans from your account. Charges and credits for plan changes are prorated automatically: upgrades bill the difference immediately, and downgrades credit unused time toward your next invoice. Your license key does not change.

6. Payments

Payments are processed by Stripe. We do not receive or store your full card details. Prices are in U.S. dollars unless stated otherwise. You are responsible for any taxes required in your jurisdiction unless we are required to collect them.

7. Refunds

Refunds are governed by our Refund Policy, which is part of these Terms.

8. Support

Support covers our own plugins: how they work, defects in them, licensing, and billing. Support does not cover issues caused by your theme, hosting environment, other plugins, or custom code. Support requests are handled through the ticket system on the Site. Paid plans are prioritized in the order tickets are handled; we do not guarantee specific response times.

9. Acceptable use

You may not use the Site or our software to violate any law, to infringe others’ rights, to attempt unauthorized access to our systems, or to interfere with the service’s operation (including abusing the support system or automated abuse of purchase or registration flows).

10. Intellectual property

The ManicSoup Labs name, logo, and Site content (excluding GPL-licensed plugin code) are our property and may not be used without permission.

11. Disclaimer of warranties

Our software and services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the software will be error-free or uninterrupted, or that it will be compatible with every theme, plugin, or hosting environment.

12. Limitation of liability

To the fullest extent permitted by law, ManicSoup Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Site or software. Our total liability for any claim will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Termination

We may suspend or terminate access for violation of these Terms. You may stop using the service and cancel your subscription at any time.

14. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Venue for disputes lies in the state or federal courts located in California, and each party consents to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. The effective date above reflects the latest revision. Material changes will be reasonably communicated (for example, by notice on the Site or by email). Continued use after changes take effect constitutes acceptance.
